What is an Annual General Meeting?

An Annual General Meeting is a meeting for a company’s members or stakeholders and its directors to discuss the company and its affairs. It usually involves the board presenting the organisation’s financial position and its future strategy, and it is one of the few occasions where investors can vote on major issues. Under Australian law, a public company with more than one member must hold an AGM at least once a year. Private companies are not required to hold one, but may choose to.

AGMs are regulated by the Corporations Act. Directors must hold the first AGM within 18 months of the company’s registration, and at least once a year after that. A quorum — the minimum number of members needed for the meeting to proceed — is defined in the company’s constitution and is usually at least two members. Certain documents are required, including the annual financial report, the directors’ report and the auditor’s report. Time must also be set aside for members to ask questions, including questions about the remuneration report, and an external auditor may attend. The maximum notice period for an AGM is 28 days.

ASIC has authorised virtual AGMs where the meeting uses appropriate technology. Running the meeting virtually can reduce venue hire costs and the risks of face-to-face gatherings, and lets board members connect remotely. It also increases accessibility and reach, so more members can take part. A virtual AGM can be run as a hybrid, with a quorum meeting physically while other members join online. After the event, you can review data on attendees, how long they viewed the meeting and how they engaged.

The priority is giving members a reasonable opportunity to participate. That means enabling live questions, comments and debate during the meeting. ASIC advises voting by poll rather than by a show of hands, so every member’s vote is counted. Give members enough notice to become familiar with the technology, and test the platform in advance. Have backup solutions ready and communicate clearly with members if technical issues arise. If technical problems prevent members from attending, the meeting should be adjourned.
